3. I. HỐI PHIẾU: (Bill of exchange - Drafts) • Luật hối phiếu Anh 1882 (Bill of Exchange Act of 1882). • Luật thương mại thống nhất của Mỹ năm 1962 (Uniform Commercial Codes of 1962 UCC) • Luật thống nhất về hối phiếu (Uniform law for bills of exchange – ULB), được ký tại Giơ-ne-vơ (Geneve) năm 1930. • Uûy ban thương mại quốc tế của Liên hợp quốc kỳ họp thứ 15 tại New York – thông qua văn kiện A/CN 9/211 ngày 18/2/1982 về hối phiếu và lệnh phiếu quốc tế (International Bills of Exchange and Promissory notes)

Khái niệm : Hoái phieáu laø moät meänh leänh ñoøi tieàn voâ ñieàu kieän do ngöôøi xuaát khaåu , ngöôøi baùn , ngöôøi cung öùng dòch vu, kyù phaùt ñoøi tieàn ngöôøi nhaäp khaåu, ngöôøi mua, ngöôøi nhaän cung öùng dòch vuï vaø ra lệnh cho ngöôøi naøy phaûi traû moät soá tieàn nhaát ñònh khi nhận được hối phiếu hoặc trong moät thôøi gian xaùc ñònh cho ngöôøi höôûng lôïi quy ñònh trong meänh leänh aáy hoặc người cầm phiếu.

8. 2 - Đặc điểm • Tính trừu tượng: Trên tờ hối phiếu không cần ghi lý do đòi tiền, tính pháp lý của hối phiếu không gắn với nguyên nhân phát sinh ra nó . • Tính bắt buộc trả tiền: Người trả tiền phải trả đầy đủ, đúng hạn cho người hưởng lợi và không được từ chối sau khi hối phiếu đã được ký chấp nhận • Tính lưu thông: Nhờ tính trừu tượng và tính bắt buộc trả tiền mà hối phiếu có thể chuyển nhượng dễ dàng .
9. 3.Hình thức của hối phiếu: • Phải tạo lập dưới dạng văn bản • Hình mẫu dài, ngắn tùy ý, viết tay, đánh máy hoặc in sẳn đều được • Ngôn ngữ đồng nhất. • Không được sửa chữa, tẩy xóa; không viết bằng bút chì, mực đỏ • Lập một hoặc nhiều bản

Trả tiền sau: có nhiều cách • Tính từ ngày nhận hối phiếu thì sẽ ghi là “X ngày sau khi nhìn thấy ” (At 90 days after sight ) • Tính từ ngày ký phát hối phiếu, thì ghi “X ngày kể từ ngày ký phát hối phiếu” (At 90 days after bill of exchange date) ØTính từ ngày khi giao hàng thì sẽ ghi là “X ngày sau khi ký vận đơn ” (At days after bill of lading date).

30. 5.Chấp nhận hối phiếu (Acceptance) v Chấp nhận hối phiếu là một thủ tục pháp lý nhằm xác nhận việc đồng ý (đảm bảo) thanh toán của người trả tiền hối phiếu. v Hình thức chấp nhận- accepted, ký góc dưới bên trái,or mặt sau, or đóng dấu ngay giữa, or chấp nhận bằng tờ giấy rời.
31. 6.Ký hậu hối phiếu (Endorsement) • Ký hậu hối phiếu là một thủ tục pháp lý để chuyển nhượng hối phiếu từ người hưởng lợi này sang người hưởng lợi khác. • Thủ tục ký hậu: người chuyển nhượng ký tên vào mặt sau hối phiếu để từ chối quyền sở hữu
32. Hình thức ký hậu chuyển nhượng – Ký hậu để trắng(Blank endorsement) – Ký hậu hạn chế (Restrictive endorsement) _ Ký hậu theo lệnh (To order endorsement) – Ký hậu miễn truy đòi (Without recourse endorsement)
33. 7.Bảo lãnh hối phiếu (Guarantee) Ø Bảo lãnh là sự cam kết của người thứ ba (thông thường là các tổ chức tài chính) nhằm đảm bảo trả tiền cho người hưởng lợi nếu như đến kỳ hạn mà người trả tiền không thanh toán. Ø Bảo lãnh bí mật hay bảo lãnh công khai.
34. 8.Kháng nghị (Protest) Kháng nghị là một thủ tục pháp lý nhằm bảo vệ quyền lợi cho chủ nợ, đó là bản tuyên bố của công chứng viên (người đại diện cơ quan pháp luật), xác thực tình trạng không trả nợ của con nợ.
35. Thủ tục kháng nghị • Trong vòng 2 ngày kể từ ngày hối phiếu đến hạn người thụ hưởng có nghĩa vụ lập kháng nghị gửi những người liên quan đến trách nhiệm trả tiền • Trong vòng 4 ngày kế tiếp có quyền đòi tiền nếu chưa được thanh toán sau khi kháng nghị
36. 9.Chiết khấu hối phiếu (Discount) Chieát khaáu hoái phieáu laø nghieäp vuï cho vay cuûa Ngaân haøng thöông maïi. Ngöôøi baùn hoaëc ngöôøi höôûng lôïi hoái phieáu xuaát trình hoái phieáu chöa ñeán haïn traû tieàn cho Ngaân haøng ñeå nhaän tröôùc moät khoaûn tieàn thaáp hôn soá tieàn ghi treân hoái phieáu .
37. II.Lệnh phiếu (Promissory notes) Leänh phieáu laø lôøi höùa, lôøi cam keát thanh toaùn cuûa ngöôøi traû tieàn. Leänh phieáu do ngöôøi mua, nhaø nhaäp khaåu kyù phaùt.
